1. Definitions

"Service" or "Services" refers to AI engineering services provided by Quorux including neural network architecture design, AI integration consulting, OCR customization, and related technical services.

"User," "You," or "Client" refers to any individual or entity accessing our website or engaging our services.

"We," "Us," or "Our" refers to Quorux, a company registered in Malaysia.

"Website" refers to all pages under the quorux.cyou domain.

"Agreement" refers to these Terms & Conditions along with any service-specific agreements.

"Deliverables" refers to code, documentation, models, reports, and other outputs produced as part of service engagements.

2. Acceptance of Terms

By accessing this website or engaging our services, you agree to be bound by these Terms & Conditions. If you disagree with any part of these terms, you must discontinue use of our website and services.

These terms constitute a binding legal agreement between you and Quorux. We reserve the right to modify these terms at any time, with changes becoming effective upon posting to our website. Continued use after changes constitutes acceptance of modified terms.

You must be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction to use our services.

3. Service Description

Services Offered

Quorux provides specialized AI engineering services including but not limited to neural network architecture design, AI system integration consulting, and custom OCR development. Specific service details, scope, deliverables, and timelines are outlined in individual service agreements.

Service Availability

Services are available to clients primarily in Malaysia and Southeast Asia, though we may accept engagements from other regions on a case-by-case basis. We reserve the right to refuse service to any individual or organization at our discretion.

Service Modifications

We may modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes affecting active service engagements.

4. User Responsibilities

Acceptable Use

You agree to use our website and services only for lawful purposes and in accordance with these terms. You must not:

Use our services in any way that violates applicable Malaysian or international laws

Attempt to gain unauthorized access to our systems or networks

Transmit malware, viruses, or malicious code

Engage in any activity that could damage, disable, or impair our services

Use our services to develop weapons systems, surveillance technologies, or other applications that could cause harm

Data Provision

When engaging our services, you are responsible for providing accurate, complete, and timely information necessary for project execution. You warrant that you have appropriate rights to any data you provide and that such data does not violate third-party rights or applicable laws.

Cooperation

You agree to cooperate reasonably with our requests for information, access to systems, and other requirements necessary to deliver services effectively.

5. Intellectual Property

Our IP Rights

All content on our website including text, graphics, logos, and software is the property of Quorux or its licensors and is protected by Malaysian and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our explicit written permission.

Deliverable Ownership

Upon full payment for services, you receive ownership of custom code, models, and documentation created specifically for your project as outlined in the service agreement. This includes rights to use, modify, and distribute deliverables without restriction or ongoing licensing fees.

We retain ownership of our general methodologies, frameworks, and any pre-existing intellectual property incorporated into deliverables. We also retain rights to anonymized learnings and technical approaches that may inform future work.

Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to reference completed projects in anonymized form for portfolio, case study, and marketing purposes without disclosing confidential client information.

6. Payment Terms

Pricing and Fees

Service pricing is specified in individual service agreements and is quoted in Malaysian Ringgit (RM). Pricing may be fixed-scope for defined projects or time-and-materials for ongoing engagements. All prices are exclusive of applicable taxes unless stated otherwise.

Payment Schedule

Payment terms are outlined in service agreements. Standard terms typically require 50 percent deposit upon project commencement and remaining balance upon delivery of final deliverables. Payment is due within 14 days of invoice date unless otherwise specified.

Accepted Payment Methods

We accept bank transfer to our Malaysian business account. International clients may arrange alternative payment methods subject to our approval.

Late Payment

Late payments may incur interest charges at the rate of 1.5 percent per month or the maximum allowed by Malaysian law, whichever is lower. We reserve the right to suspend services until payment is received.

Refund Policy

Refunds are handled on a case-by-case basis depending on project stage and circumstances. Work completed to date will be billable even if a project is terminated early. Disputes over deliverable quality will be resolved through good-faith negotiation before any refunds are considered.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during service engagements. This includes technical specifications, business strategies, datasets, and any information marked as confidential.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully obtained from third parties without confidentiality restrictions.

Confidentiality obligations survive termination of services and remain in effect for five years unless otherwise specified in service agreements.

8. Warranties and Disclaimers

Service Warranties

We warrant that services will be performed with reasonable care and skill consistent with industry standards. Deliverables will conform to specifications outlined in service agreements.

Disclaimers

Our services are provided "as is" without warranties beyond those explicitly stated. We disclaim all implied warranties including merchantability and fitness for particular purpose to the extent permitted by law.

We do not guarantee specific performance metrics, accuracy rates, or business outcomes unless explicitly warranted in service agreements. Machine learning and AI systems are probabilistic by nature and performance may vary based on data quality, problem complexity, and deployment conditions.

Our technical recommendations are based on engineering judgment and industry best practices but do not constitute legal, financial, or business strategy advice. You should consult appropriate professionals for such guidance.

9. Limitation of Liability

To the maximum extent permitted by Malaysian law, our total liability for any claims arising from services or use of our website shall not exceed the fees paid by you for the specific service engagement giving rise to the claim.

We shall not be liable for indirect, incidental, consequential, special, or punitive damages including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Nothing in these terms shall limit liability for death or personal injury caused by negligence, fraud, or other matters where liability cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless Quorux, its employees, and contractors from any claims, damages, liabilities, costs, and expenses arising from:

Your breach of these terms or violation of applicable laws

Your use of deliverables in ways not contemplated by service agreements

Data you provide that infringes third-party rights or violates laws

Your negligent or willful misconduct

11. Termination

Termination by Either Party

Either party may terminate service engagements by providing 14 days written notice. You remain obligated to pay for work completed to the date of termination.

Immediate Termination

We reserve the right to immediately terminate services if you breach these terms, fail to make required payments, or if we determine continued engagement poses legal, security, or reputational risks.

Effects of Termination

Upon termination, you will receive deliverables completed to date upon payment of all outstanding fees. Confidentiality obligations and intellectual property rights survive termination.

12. Dispute Resolution

Governing Law

These terms are governed by the laws of Malaysia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of Malaysian courts.

Informal Resolution

Before initiating formal legal proceedings, parties agree to attempt good-faith resolution through direct negotiation. Either party may request a meeting to discuss disputes, with senior representatives from both sides participating.

Mediation

If informal resolution fails, parties may agree to non-binding mediation before pursuing litigation. Mediation costs shall be shared equally unless otherwise agreed.

13. General Provisions

Entire Agreement

These terms, together with any service-specific agreements, constitute the entire agreement between parties and supersede all prior communications and proposals.

Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

Waiver

Failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights to any affiliate or successor entity.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control including natural disasters, war, terrorism, pandemics, or government actions.
